client agreement form

This Agreement is entered into by and between You (Client) and Tonya Baynes (Coach), whereby Coach agrees to provide Coaching Services to Client.

1. PROGRAM, FEES, AND PAYMENT

The specific program, number of sessions, session length, start date, total fee, and payment schedule for this engagement are set out in the Welcome Document provided to Client before signing. Those terms are part of this Agreement as if written here in full.

By signing below, Client confirms they have received and reviewed the Welcome Document and agree to the program and fee terms it contains.

Completion window. All sessions must be used within three months past the expected completion date stated in the Welcome Document. Sessions not used within that window are forfeited unless Coach agrees otherwise in writing.

Failed or late payments. If a scheduled payment does not clear, sessions pause until payment is current. Coach will notify Client and allow five business days to resolve it. Repeated late payments may alter the terms of this Agreement and may lead to termination of the program.

2. SERVICES

Coach will facilitate a co-creative process in which Client gains clarity on their goals and obstacles. Coach will provide guidance and support in building a plan into action, with a strong emphasis on accountability.

Services are provided face to face, by video, or by phone, as agreed jointly with Client.

Client acknowledges that Coach is not a licensed therapist or physician and is not trained in diagnosing psychological or medical conditions. Coaching is not therapy, counseling, medical care, or financial advice.

If at any point Coach believes Client would be better served by a licensed professional, Coach may recommend a referral and may pause or end the coaching relationship. This is not a judgment about Client. It is a judgment about fit.

3. COACH'S ROLE

Coach will bring attentive listening, understanding, belief in Client, and commitment to their success.

Client can expect to be challenged, stretched, and encouraged to deepen the work done in sessions by writing, taking action, resolving relationships, or completing things that feel unfinished. Client is free to negotiate, accept, or decline any of it.

Coach cannot guarantee results. Client's results come from gaining clarity, developing paths forward, and having the courage and determination to act.

4. CLIENT'S ROLE

Client will come to sessions centered and ready to engage honestly and openly. Client will be motivated and committed to acting on the goals they set, understanding that anything less than full, intentional participation will not lead to the results they want.

Client will give coaching sessions high priority and arrange their schedule to honor the agreed time.

Client is responsible for their own decisions and actions, both during the program and after it ends.

5. SESSIONS AND PREPARATION

Before each session. Client will determine the desired focus for the session and send any needed information at least twenty four hours in advance, including the session prep sheet and any work from the previous session.

Joining. Coach will send a video link or location details before each session.

Late starts. If a session begins late, the original end time stands unless both Coach and Client are able to extend.

6. SUPPORT BETWEEN SESSIONS

Client may reach Coach by email or voice message between sessions. Coach will respond within two business days.

Coach's working hours are Monday through Friday, [insert hours], [insert time zone]. Coach may be traveling internationally during the program and will give Client advance notice of any change to availability.

Between session support is for brief questions, check ins, and reporting back on assigned work. It is not a replacement for a session. If a question needs real time, Coach will suggest bringing it to the next session or scheduling additional time.

7. CANCELLATION AND RESCHEDULING

If Client needs to reschedule, Client agrees to give Coach at least twenty four hours notice. Coach agrees to do the same.

A session cancelled with less than twenty four hours notice is forfeited and counts toward the total sessions in the program.

A no show is forfeited and will not be rescheduled.

Forfeited sessions may be reinstated at Coach's sole discretion, usually in the case of a genuine emergency.

8. TERMINATION AND REFUNDS

Either party may terminate this Agreement at any time, for any reason, with two weeks written notice. A closing conversation is ideal but not required.

If Client terminates early:

Within the first fourteen days of the start date, Client may request a full refund of amounts paid, less the value of any sessions already held at Coach's standard single session rate.

After fourteen days, the full program fee is owed. Client remains responsible for any remaining scheduled payments. Refunds after this point are at Coach's sole discretion.

If Coach terminates early, Coach will refund the fee for any sessions paid for and not yet used.

9. CONFIDENTIALITY

This coaching relationship, and information shared by Client as part of it, will be kept private and confidential. Coach will not disclose information pertaining to Client without Client's written consent.

Exceptions relate to circumstances involving an imminent or likely risk of danger or harm to Client or others, or illegal activity.

Credentialing log. Coach engages in training and continuing education to pursue and maintain coaching credentials. That process may require the names and contact information of clients for verification. Coach maintains a password protected log of client names and session hours for accreditation. By signing, Client consents to having their name and email or phone included. This log is shared only if an accreditation application is audited.

10. RECORDING

Coach may ask to record a session for Coach's professional development and credentialing. Recordings are stored in password protected cloud storage, will only be shared for required credentialing, and are deleted within twelve months of the program ending.

No session is recorded without advance notice. Coach and Client will choose any session to be recorded together, and Client may decline at any time, including on the day, with no effect on the coaching.

11. STORIES AND TESTIMONIALS

Coach may ask Client for a testimonial or permission to share Client's story. Nothing is shared without the permission marked below, and permission can be withdrawn at any time in writing.

Where Client has given permission, Coach will send the written version for Client's approval before publishing it.

Founding Adventurer rate. Where Client has received a reduced founding rate, Client agrees to provide a written testimonial within thirty days of completing the program and permission for Coach to share their story anonymously or with a changed name. This is part of the consideration for the reduced rate.

12. MATERIALS

All workbooks, prompts, frameworks, exercises, and other materials provided by Coach remain the property of Coach.

They are for Client's personal use. Client agrees not to copy, distribute, sell, or teach them to others without Coach's written permission.

13. PHYSICAL ACTIVITY

Some coaching work may involve physical activity, including activities Client chooses as part of their own goals.

Client participates in any physical activity at their own risk and is responsible for determining whether they are physically able to do so. Client agrees to seek medical clearance where appropriate.

Any in person adventure day or retreat requires a separate waiver, signed before participation.

14. LIMITATION OF LIABILITY AND INDEMNIFICATION

Client acknowledges that results are subjective and vary between clients. Coach makes no warranties, express or implied, in connection with the services provided.

Client agrees to indemnify, defend, release and hold harmless Coach from and against any and all costs, losses, claims, damages, liabilities, expenses and other obligations, including reasonable attorneys' fees and costs, asserted or recovered against or incurred by Coach in connection with the services proposed or provided under this Agreement.

15. GOVERNING LAW

This Agreement is governed by the laws of the State of Delaware.

16. ENTIRE AGREEMENT

This document reflects the entire agreement between Coach and Client and a complete understanding of the parties with respect to its subject matter. It supersedes all prior written and oral representations. It may not be amended, altered, or supplemented except in writing signed by both parties.
